.1. Purpose
This Agreement outlines the terms and conditions under which the Vendor will participate in the above-named event hosted by the Event Organizer.
2. Vendor Obligations
The Vendor agrees to:
Attend and operate a booth at the Event.
Submit a high-resolution logo design in PNG or vector format for marketing purposes no later than June 15, 2025.
Submit at least one high-quality photo of their products (if applicable) by June 15, 2025.
Maintain a professional and respectful presence throughout the Event.
3. Fees and Payment
The Vendor shall pay a non-refundable participation fee of $125 upon execution of this Agreement.
4. Promotion and Marketing
The Event Organizer will include the Vendor’s name, logo, and product image (if provided) in promotional materials, including, but not limited to, social media, flyers, and websites.
The Event Organizer reserves the right to use photographs of conference vending spaces in its promotional materials and online presence. By virtue of your attendance, you agree to the use of your likeness in such materials.
5. Subletting Space
The space purchased by the Vendor is for the exclusive use of said Vendor. Vendors may not assign, sublet, share, or apportion the whole or any part of the space allocated to them with any other entity.
6. Live Demonstrations
Live demonstrations involving makeup, lotions, oils, soap, wax, hair care products, and/or water are permitted with the acknowledgment that the Vendor assumes all risks and responsibility for any adverse reactions or negative outcomes.
7. Care of Equipment and Building
The Vendor, including its employees, representatives, or agents, must not injure or deface the walls or floors of the building or vending space. If such damage occurs, the Vendor will be held liable to the owner of the damaged property.
Nothing shall be posted on, tacked, nailed, screwed, or otherwise attached to the columns, walls, floors, ceiling, furniture, or other property of the exhibit facility.
8. Cancellations
The Vendor must notify the Event Organizer of any cancellation at least 30 days in advance. All fees are non-refundable.
9. Liability
The Event Organizer is not responsible for any loss, damage, or injury incurred by the Vendor or their staff during the event. Vendors are encouraged to carry their own insurance.
The Vendor expressly assumes all risks associated with, resulting from, or arising in connection with their participation or presence at the Event, including, without limitation, all risks of theft, loss, harm, damage, or injury to the person (including death), property, business, or profits of the Vendor, whether caused by negligence, intentional act, accident, act of God, or otherwise.
The Vendor has sole responsibility for its property, including any theft, damage, or other loss. The Vendor is responsible for securing their products outside of vending hours.
10. Governing Law
This Agreement shall be governed by the laws of the State of New Jersey.
11. Entire Agreement
This document constitutes the entire agreement between the parties. Any changes must be made in writing and signed by both parties.
